WisdomLabs.AI, Inc., Inc. - Terms of Service
Introduction
BY ACCEPTING THIS AGREEMENT OR ACCESSING OR USING THE SERVICE, YOU ARE
ACCEPTING THE TERMS AND CONDITIONS OF THIS AGREEMENT, UNLESS A SEPARATE
WRITTEN AGREEMENT IS IN EFFECT THAT SPECIFICALLY GOVERNS THE SUBJECT
MATTER HEREOF. (“AGREEMENT”) ON BEHALF OF YOURSELF OR THE ENTITY YOU
REPRESENT. IF YOU DO NOT AGREE, YOU MAY NOT USE THE SERVICE.
This Agreement is between WisdomLabs.AI, Inc., Inc., a Delaware corporation(“WisdomLabs.AI, Inc.”), and the individual or entity accessing or using the Service(“Customer”). These terms govern use of the WisdomLabs.AI, Inc. Digital Twin platform,services, and related software.
1.Overview of WisdomLabs.AI, Inc. Services
WisdomLabs.AI, Inc. is an intelligence automation company that provides a next-generation Digital Twin platform to help enterprise teams preserve knowledge, automate context retrieval, and supercharge productivity across internal systems. that enables users to capture, recall, and utilize organizational knowledge across connected workplace tools. The Service integrates with enterprise systems to allow real-time knowledge surfacing, automation, and personalized support.
Customers configure which systems are connected, how data is used, and retain control over access and privacy settings, including support for Virtual Private Cloud (VPC) deployment and Model Context Protocol (MCP) integrations.
2. Access and Use
2.1 Access Rights: Customer and its authorized Users may access and use the Service during
the Subscription Term as specified in the Order. Customer is responsible for all activity
occurring under its accounts and ensuring compliance with these terms.
2.2 Deployment Options: The Service may be deployed either in WisdomLabs.AI, Inc.’
hosted infrastructure, or in the Customer’s private VPC.
2.3 LLM Options: Customers may use WisdomLabs.AI, Inc.’ integrated LLMs or connect their
own licensed LLMs via supported API keys and integrations.
3. Restrictions
Customer will not (and will not permit its Users or any third party to):
- - Sell, sublicense, or distribute the Service.
- - Reverse engineer, modify, or build derivative works of the Service.
- - Use the Service for unlawful purposes or to compete with WisdomLabs.AI, Inc..
- - Interfere with service integrity or access.
4. Ownership and Feedback
4.1 Proprietary Rights: WisdomLabs.AI, Inc. owns all rights to the Service, software,
documentation, and related technology.
4.2 Customer Data: Customer retains ownership of all data it provides. WisdomLabs.AI, Inc. is granted a limited license to use this data solely to provide the Service.
4.3 Feedback: Any feedback provided may be used by WisdomLabs.AI, Inc. to improve its products, provided it is anonymized and does not identify the Customer.
5. Fees and Payments
5.1 Pricing: Fees are as described in the applicable Order. Usage beyond agreed limits may
incur additional charges.
5.2 Taxes: Customer is responsible for applicable taxes, excluding those based on
WisdomLabs.AI, Inc.’ income.
6. Support and Security
6.1 Support: WisdomLabs.AI, Inc. will provide support services as outlined in the applicable Order.
6.2 Security Measures: WisdomLabs.AI, Inc. will maintain safeguards to protect Customer
Data, including encryption in transit and at rest.
7. Trials
Trial services are provided “as is” and may be discontinued at any time. No warranties apply
during trials unless otherwise agreed.
8. Warranties
WisdomLabs.AI, Inc. warrants that the Service will conform to its documentation during the
Subscription Term. Remedies include correction or a pro-rata refund.
9. Confidentiality
Both parties agree to maintain the confidentiality of non-public information disclosed under
this Agreement and not to use it outside the purpose of this Agreement.
10. Indemnification
WisdomLabs.AI, Inc. will indemnify Customer against claims that the Service infringes third-
party IP rights. Customer will indemnify WisdomLabs.AI, Inc. for claims related to Customer
Data or illegal use.
11. Limitation of Liability
Each party’s total liability is limited to the amount paid by Customer in the prior 12 months,with a higher cap in case of unauthorized data disclosure.
12. Term and Termination
Agreement begins on the Effective Date and continues for the Subscription Term. Either
party may terminate for cause.
13. General
Governing law: California, USA.
Assignment: Only with consent unless part of a merger.
Modifications: With notice. Continued use means acceptance.
Force Majeure: No liability for causes beyond control.
14. Definitions
Definitions include terms such as Customer Data, Documentation, Order, Service, and User.
Definitions
“Affiliate” means An entity that, directly or indirectly, controls, is controlled by, or is under common control with a party. 'Control' means ownership of more than fifty percent (50%) of voting securities or the power to direct management policies.
“BAA” means A Business Associate Agreement, required under HIPAA for entities handling protected health information (PHI) on behalf of covered entities.
“Cloud Service Provider” means A third-party provider of cloud computing platforms and
services such as Amazon Web Services (AWS), Microsoft Azure, or Google Cloud Platform.
“Cloud Service Provider Account” means A specific customer-managed or WisdomLabs.AI-
managed account provisioned within a Cloud Service Provider used to deploy and operate
the Service.
“Connected Application” means An enterprise software application (e.g., Gmail, Slack,
Salesforce) integrated with the Service to submit data into the WisdomLabs.AI platform.
“Customer Data” means All data submitted by Customer to the Service, including content,
files, metadata, and any generative AI output (if applicable) as defined in the DPA.
“Documentation” means The user guides, manuals, and help content provided by
WisdomLabs.AI, Inc. to support the effective use of the Service.
“DPA” means A Data Processing Addendum that outlines the terms governing the handling
of personal data, typically executed in accordance with GDPR or similar privacy regulations.
“LLM Provider” means A third-party provider of large language models (e.g., OpenAI,
Anthropic) whose models are used to generate responses or content within the Service.
“Order” means A written or electronic order form executed by the Customer and
WisdomLabs.AI, Inc. (or authorized Reseller), which specifies the scope and terms of Service
to be delivered.
“Output” means The text, documents, summaries, or other materials generated by the
Service using AI, based on the Customer Data and integrated LLMs.
“Reseller” means A third-party entity authorized by WisdomLabs.AI, Inc. to market, sell, and
distribute the Service under an agreement with WisdomLabs.AI, Inc.
“Service” means The WisdomLabs.AI Digital Twin software-as-a-service (SaaS) platform,
including all features, updates, and supporting materials offered to the Customer.
“Subscription Term” means The fixed period specified in the Order during which the
Customer is authorized to use the Service.
“Users” means Individuals granted access to the Service by the Customer, including
employees, contractors, or consultants operating under Customer's control.
